LICENSING POLICY

Effective Date: January 1, 2026

This Licensing Policy describes general principles governing the licensing and use of works published, managed, or represented by BDOWN Publishing Inc.™ (“BDOWN Publishing,” “we,” or “us”).
Specific licensing arrangements may be governed by separate written agreements, which will control in the event of any conflict with this Policy.

1. SCOPE OF LICENSED WORKS

BDOWN Publishing may manage and license rights for:
Books, study guides, and written texts
Audio works, including albums, spoken word, and narrated content
Docuseries and visual media
Curricula, frameworks, and educational programs
Podcasts and other digital media
Related derivative works and supplemental materials

These properties may be associated with our signature brands, including but not limited to: Dr. Scholar Lee™, XScholarBar™, and Kyi’Ari Sky™.

2. TYPES OF LICENSES

We may offer various types of licenses, including:
Individual Use Licenses – For personal, non-commercial use by a single individual (e.g., purchase of a book or digital download).
Institutional or Organizational Licenses – For schools, universities, training centers, or organizations to use specified materials within their programs.
Media & Adaptation Licenses – For adaptation to other formats (audio, film, series, stage, digital), subject to approvals and defined rights.
Territory or Language-Specific Licenses – For distribution or use within designated regions or languages.
Limited-Term or Perpetual Licenses – Time-bound or long-term licenses, as specified in the applicable agreement.

The availability, scope, and structure of each license type are determined at our discretion. 

3. PERMITTED USES

Permitted uses of licensed materials depend on the specific license granted but may include:
Displaying or using materials in a classroom, training, or organizational setting
Hosting internal screenings or viewings of licensed media for defined audiences
Providing access to enrolled students, staff, or authorized participants as outlined in the license
Integrating materials into approved curricula, workshops, or programs

All permitted uses are strictly limited to what is described in the written license agreement or purchase terms. Any use beyond those terms requires our prior written consent.

4. PROHIBITED USES

Unless expressly authorized in writing, you may not:
Reproduce, distribute, or share licensed materials beyond the scope of the license
Upload or post licensed works to public websites, platforms, or shared drives for unrestricted access
Remove or alter copyright notices, trademarks, or attribution statements
Create derivative works or adaptations based on licensed materials, including translations, remixes, or spin-off programs, without our consent
Sub-license, assign, or transfer licensed rights to third parties without written permission
Use licensed works in any manner that is unlawful, defamatory, harmful, or inconsistent with the integrity of the original work

5. REQUESTING A LICENSE

Organizations, institutions, and partners seeking licensing should submit a request through our Licensing or Partnerships forms or contact us directly with:
The specific work(s) or catalog(s) of interest
The format, territory, and intended use
The size and nature of the audience or organization
Desired term and any relevant timelines

We will review the request and may provide a proposal, ask clarifying questions, or decline if the opportunity is not aligned with our priorities or policies.

No license is granted unless and until a written agreement or explicit written confirmation is issued by BDOWN Publishing Inc.™.

6. FEES & PAYMENT

License fees, royalties, and payment terms are determined on a case-by-case basis and will be documented in the relevant agreement or invoice.

Failure to pay fees when due may result in suspension or termination of licensed rights.

7. TERM, RENEWAL & TERMINATION

The term (duration) of a license and any renewal options will be defined in the applicable agreement.
We may terminate or suspend a license, in whole or in part, if:
Fees are not paid when due
Licensed materials are used outside the agreed scope
The licensee violates material terms of the agreement or this Policy
Required approvals or conditions are not maintainedUpon termination or expiration, the licensee must cease use of the licensed materials (except as otherwise permitted in writing) and comply with any takedown or destruction requirements specified by us.

8. ATTRIBUTION

Where appropriate, licensed uses must include proper attribution, such as:

Used with permission.
Specific attribution formats may be provided in the relevant agreement or usage guidelines.

9. NO IMPLIED RIGHTS

Except as expressly granted in a written agreement or purchase terms, no rights or licenses are conveyed, whether by implication, estoppel, or otherwise. All rights not expressly granted are reserved by BDOWN Publishing Inc.™ and/or its licensors.

10. CHANGES TO THIS LICENSING POLICY

We may update this Licensing Policy from time to time. The “Effective Date” at the top reflects the latest revision. Individual agreements in place with licensees will remain governed by their own terms unless modified in writing.
